Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Tallycent, an expense tracking and GST reporting service for self-employed professionals in Singapore (“Tallycent”, “we”, “us”). By creating an account or using Tallycent, you agree to these Terms. If you do not agree, do not use the service.
1. What Tallycent Is
Tallycent lets you record business expenses, upload and store receipts, import bank or card statements, and generate GST-related reports. Tallycent helps you organise and track this information — it does not file your GST return with IRAS on your behalf, and it is not a substitute for advice from a qualified accountant or tax professional. See Section 6.
2. Your Account
- You must be at least 18 years old and able to form a binding contract to create an account.
- The information you provide when registering must be accurate and kept up to date.
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- One account per individual or sole proprietorship, unless we agree otherwise in writing.
3. Subscriptions and Billing
- Tallycent is offered on subscription plans described on our Pricing page. Prices there are the current, effective prices — not what is written here, so this section does not repeat specific figures.
- Subscriptions renew automatically each billing period until you cancel.
- You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and we do not provide partial-period refunds except where required by law.
- If a payment fails, we may suspend access to your account until the balance is settled, after reasonable notice.
- We may change our prices with at least 30 days’ notice to active subscribers; continued use after a price change takes effect means you accept the new price.
4. Your Data and Content
You retain ownership of the expense records, receipts, and other data you upload to Tallycent (“Your Data”). By using the service, you grant us a licence to store, process, and display Your Data solely to provide and improve the service to you. You are responsible for the accuracy of Your Data and for having the right to upload it (for example, receipts and statements relating to your own business activity).
5. Acceptable Use
You agree not to:
- use Tallycent for any unlawful purpose, or to store or process data you do not have the right to hold;
- attempt to gain unauthorised access to any part of the service, or to another user’s account or data;
- interfere with or disrupt the service’s operation or security;
- reverse engineer, decompile, or attempt to extract the source code of the service, except where the law expressly permits it;
- resell or provide the service to third parties without our written consent.
6. GST and Tax Disclaimer
Tallycent is a record-keeping and reporting tool. Reports generated by Tallycent are intended to help you prepare for GST filing and to support your own record-keeping obligations — they are not a substitute for professional accounting or tax advice, and Tallycent does not submit filings to IRAS on your behalf. You remain solely responsible for the accuracy and completeness of your GST returns and for your compliance with the Goods and Services Tax Act and any other applicable Singapore tax law. We recommend reviewing Tallycent-generated reports with a qualified accountant before relying on them for a filing.
7. Intellectual Property
The Tallycent software, branding, and underlying technology are owned by us and protected by intellectual property law. These Terms give you a limited, revocable right to use the service for your own business purposes — nothing here transfers ownership of that technology to you.
8. Service Availability
We aim to keep Tallycent available and reliable, but the service is provided “as is” without a guaranteed uptime commitment at this stage. We may update, modify, or temporarily suspend parts of the service for maintenance, and we will try to give reasonable notice of any change that materially affects how you use it.
9. Termination
You may stop using Tallycent and cancel your subscription at any time. We may suspend or terminate your account if you breach these Terms, including for non-payment after reasonable notice. On termination, we will retain Your Data for the period described in our Privacy Policy before it is deleted, and will provide reasonable assistance to export it on request beforehand.
10. Limitation of Liability
To the extent permitted by law, Tallycent is not liable for indirect, incidental, or consequential losses arising from your use of the service, including errors in a GST filing you make based on Tallycent’s reports. Our total liability to you for any claim arising from these Terms is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.
11. Changes to These Terms
We may update these Terms from time to time. If a change is material, we will notify active subscribers by email or an in-product notice before it takes effect. Continuing to use Tallycent after a change takes effect means you accept the updated Terms.
12. Governing Law
These Terms are governed by the laws of Singapore, and any dispute arising from them is subject to the non-exclusive jurisdiction of the Singapore courts.
